BOARD OF COUNTY COMMISSIONERS AGENDA REQUEST DATE: June 2, 2015 TO: Honorable Chairman and Members of the Board FROM: Zan Fedorak SUBJECT: Request approval of the consent for American Tower to Ground Lease Sublease and Leaseback DEPARTMENT: Purchasing BCC DISTRICT: 2 STATEMENT OF ISSUE: Request approval of the consent for American Tower to Ground Lease Sublease and Leaseback a portion of a cell tower lease from Verizon Wireless at 1250 Eglin Parkway, Shalimar. (L01-0209-WS) (District: 2) BACKGROUND & ANALYSIS: On February 5, 2015, Verizon Communications, Inc. (Verizon) entered into an agreement with American Tower Corporation (ATC) regarding a portion of Verizon’s tower portfolio including the right for the ATC to manage and operate the portfolio. Okaloosa County’s Ground Lease (C01-0209-WS) and the site associated with the Ground Lease are part of the tower portfolio. Section 10 of the existing lease (C01-0209-WS) language authorizes a sublease with the County’s consent. ATC has submitted a letter requesting consent by the County of the Ground Lease Sublease and Leaseback. The property/tower is located just to the west of the Shalimar Administration Building site. The existing lease is for a cellular radio transmission tower for the purpose of an emergency telecommunications antenna. ATC is not a wireless carrier and will not be adding any equipment to the tower. ATC is simply managing and operating the existing tower and no other companies are involved in this specific transaction. The sublease/leaseback language applies only to ATC and Verizon. ATC is subleasing the tower site from Verizon and leasing back to Verizon the portion of the tower and surrounding grounds that Verizon already uses. ATC is not receiving additional revenue by allowing a third party to lease space on the existing tower or grounds. Based on the terms of the lease, ATC would need to obtain the Board's consent before adding any third parties to the tower. The letter states that ATC and Verizon had expected the initial transactions to close on or before May 1, 2015 however staff has received confirmation that they did not proceed and are awaiting the consent from the County. Staff requests Board authorization for the Chairman to sign the consent letter. OPTIONS: Approve/Deny the American Tower ground lease sublease and leaseback from Verizon Wireless and authorize the Chairman to sign the consent letter. RECOMMENDATION: Staff recommends approval of the American Tower ground lease sublease and leaseback from Verizon Wireless and authorization for the Chairman to sign the consent letter. RECOMMENDED BY: APPROVED BY: John Hofstad, County Administrator
