Okaloosa County BOCC — January 19, 2016 — Amendment to Master Lease Agreement

AMENDMENT TO MASTER LEASE AGREEMENT This Amendment to Master Lease Agreement (“Amendment”), dated as of January 19, 2016 is by and between Okaloosa County (“Lessee”) and Philips Medical Capital, LLC (“Lessor”). Lessor and Lessee are parties to that certain Master Lease Agreement dated of even date herewith (the “Agreement™). Lessor and Lessee desire to supplement the terms of the Agreement, Any capitalized terms not otherwise defined herein shall have the meaning given them in the Agreement. NOW, THEREFORE, for good and valuable consideration, intending to be legally bound and pursuant to the terms and conditions of the Agreement, it is hereby agreed as follows: 1. Section 10 is amended by replacing “Three Million Dollars ($3,000,000) per occurrence” with “One Million Dollars ($1,000,000.00 per occurrence” at the end of the 2* sentence. 2. Section 11 is amended by inserting “To the extent not prohibited by law,” at the beginning of the 1% sentence. 3. Section 14 is amended as follows by deleting the words “reasonable attorneys’ fees” from the 5% sentence of the 2™ paragraph. 4, Section 15 is amended by replacing the words “appoints Lessor as Lessee’s attorney-in-fact” with the words “Lessee authorizes Lessor” at the beginning of the 2™ sentence. 5. Section 20 is amended as follows: a. b. By deleting the words “shall be deemed to have been made in Wayne, Pennsylvania” and replacing “Commonwealth of Pennsylvania” with “State of Washington” in the 1% sentence, By replacing “courts of the Commonwealth of Pennsylvania” with “courts of the State of Florida” and replacing “Federal District Court for the Eastern District of Pennsylvania” with “the federal courts having jurisdiction within the State of Florida” in the 2™ sentence. 6. This Amendment supplements the Agreement. In the event of any conflict, inconsistency or incongtuity between the provisions of this Amendment and any of the provisions of the Agreement, the provisions of this Amendment shall in all respects govern and control.
