INDEPENDENT AUDITORS’ REPORT
Board of Directors
Lord & Son Construction, Inc.
Fort Walton Beach, Florida
Report on Financial Statements
We have audited the accompanying financial statements of Lord & Son Construction, Inc. (a Florida
S Corporation), which comprise the balance sheets as of December 31, 2013, and 2012, and the
related statements of income, changes in shareholders' equity and cash flows for the years then
ended, and the related notes to the financial statements.
Management's Responsibility for the Financial Statements
Management is responsible for the preparation and fair presentation of these financial statements in
accordance with accounting principles generally accepted in the United States of America; this
includes the design, implementation, and maintenance of internal control relevant to the preparation
and fair presentation of financial statements that are free from material misstatement, whether due
to fraud or error.
Auditors’ Responsibility
Our responsibility is to express an opinion on these financial statements based on our audit. We
conducted our audit in accordance with auditing standards generally accepted in the United States
of America. Those standards require that we plan and perform the audit to obtain reasonable
assurance about whether the financial statements are free from material misstatement. An audit
involves performing procedures to obtain audit evidence about the amounts and disclosures in the
financial statements. The procedures selected depend on the auditors’ judgment, including the
assessment of the risks of material misstatement of the financial statements, whether due to fraud
or error. In making those risk assessments, the auditor considers internal control relevant to the
entity's preparation and fair presentation of the financial statements in order to design audit
procedures that are appropriate in the circumstances, but not for the purpose of expressing an
opinion on the effectiveness of the entity's internal control. Accordingly, we express no such
opinion. An audit also includes evaluating the appropriateness of accounting policies used and the
reasonableness of significant accounting estimates made by management, as well as evaluating
the overall presentation of the financial statements. We believe that the audit evidence we have
obtained is sufficient and appropriate to provide a basis for our qualified audit opinion.
Basis for Qualified Opinion
As more fully described in Note 2 to the financial statements, the Company’s financial statements
do not include the accounts of LDL2, LLC, and DHSM Group, LLC that the Company has
determined are variable interest entities. In our opinion, the Company’s financial statements should
include the accounts of LDL2, LLC, and DHSM Group, LLC to conform with accounting principles
generally accepted in the United States of America. Management has chosen not to consolidate the
financial statements of the variable interest entities after an evaluation of the costs and benefits to
make such presentation.
Board of Directors
Lord & Son Construction, Inc.
Independent Auditors’ Report (Continued)
Qualified Opinion
In our opinion, except for the effects of not including the accounts of LDL2, LLC, and DHSM Group,
LLC in the accompanying financial statements as explained in the Basis for Qualified Opinion
paragraph, the financial statements referred to in the first paragraph present fairly, in all material
respects, the financial position of Lord & Son Construction, Inc. as of December 31, 2013 and 2012,
and the results of its operations and its cash flows for the years then ended in accordance with
accounting principles generally accepted in the United States of America.
Report on Supplementary Information
Our audit was conducted for the purpose of forming an opinion on the financial statements as a
whole. The supplementary information in the accompanying schedules is presented for purposes of
additional analysis and is not a required part of the financial statements. Such information is the
responsibility of management and was derived from and relates directly to the underlying
accounting and other records used to prepare the financial statements. The information has been
subjected to the auditing procedures applied in the audit of the financial statements and certain
additional procedures, including comparing and reconciling such information directly to the
underlying accounting and other records used to prepare the financial statements or to the financial

| Northwest Florida Regional Airport — East Side Development Project — Letter of Reference
|
| To Whom It May Concern:
It is my pleasure to have the opportunity of providing a reference for Lord & Son
Construction, Inc. of Fort Walton Beach, Florida. They successfully provided the
construction and project management oversight of the Eastside Development Project at the
Northwest Florida Regional Airport.
The project was a total expenditure of more than $15,000,000.00, consisting of over 56,000
square feet of office, cargo storage and maintenance spaces, a five bay carwash, five island
fuel dispensing area, 130,000 gallon state-of-the-art design jet and unleaded fuel storage and
containment facility, over 6 acres of parking, covered walkway, lift station; landscaping,
perimeter fencing and access control systems and left access turn lane on State Highway 85.
Mr John Klumpp, Vice President of Lord & Son Construction, Inc., coordinated with Tracey
Walker, on-site construction project manager and Jack Harris, project superintendent. This
superb team ensured the project was going according to schedule and met with me weekly to
answer questions that I as Airports Project Manager might have concerning the development.
They also handled all County and State permitting requirements for this project.
The project came in on time and under budget for the original requirements as this team
continually sought out ways to provide money saving options during construction, some of
which improved the aesthetics of the walkway design by deleting walls allowing for the
landscaping to be highlighted. Their focused scheduling allowed the tenants to move in one
month early, resulting in early rental receipts by the County.
We found Lord & Son Construction, Inc to be a very reliable contractor and we are very
pleased with the outcome of the Eastside Development project and would recommend Lord
& Son Construction, Inc. for any future construction endeavors.

RE: 45 Eglin Professional Centre
Dear Mr. Lord:
I am writing to express our sincere appreciation of the quality workmanship and project
management provided by Lord and Son Construction on the 45 Eglin Professional Centre
project. We are fortunate to have chosen Lord and Son as the Contractor for our facility.
Your management team of Mike O’Grady, Project Manager, J.P. Buchanan, QC Manager, and
Dave Burleson, Superintendent, was a well-oiled team of professionals. Whenever we
encountered a snag, such as the issue with unsuitable soil areas, it was quickly resolved by this
team so the project maintained forward motion. We appreciate their attention to detail on a
complex project that helped maintain the project budget and schedule. Your team’s dedication,
work ethic, promptness and honesty were all characteristics that the entire Lord and Son
organization displayed throughout our construction.
It was a great pleasure to have worked with Lord and Son and I would certainly recommend your
firm and this management team to any future clients with whom you are involved to relay our
total satisfaction.

To whom it may concern:
I am pleased to write this letter recommending and commending the work of Lord & Son
Construction Company. The recently completed Children’s Building project for First United
Methodist Church in Niceville, Florida was a true success story from start to finish. I was the
Architect for the project and had the pleasure of working with John Klumpp, the project manager
and Ronnie Jordon, the site superintendent for Lord & Son.
The project was priced using a competitive bidding process and Lord & Son was the lowest bid.
The prices were not only within budget, but below the church’s estimate, which allowed the
church to add several items that they were hoping to include in the project.
During construction, the team members of Lord & Son maintained a high level of
professionalism and organization in coordinating the work. Their efforts kept activities flowing
smoothly and the project was completed within the tight schedule established. This allowed the
church’s Pre- School program to open on time.
It was a gratifying experience to work with Lord & Son on this project. Their attention to detail
and concern for the overall quality of the project was evident during the entire construction
period. Ihave no hesitancy in recommending Lord & Son for any size construction project and I
would be happy to discuss their work with any interested party.
Sincerely,

As the Project Manager at Eglin AFB, Lord and Son are presently doing the renovation of the Fitness
Center, Building 810, on Eglin AFB, Florida. The project is a Design-Build project in which Architect
Dennis Chavez and Lord and Son partnered. The project was competed among two other Design-Build
Companies, and Lord and Son/Dennis Chavez were awarded the project at a cost of $1,505,100.
The project is a phased renovation of the Fitness Center. The facility is still occupied and patronized by
the customers, and Lord and Son have been working with the customer to provide the least amount of
impact on the customer and still perform the work as required in the contract. We are presently into the
seventh month of a twelve month performance period. The work involves providing new heating
ventilating and air conditioning in the weight and fitness rooms, new ceiling and lighting in these rooms,
as well. Completely renovate the men’s locker rooms and showers in which it was reconfigured to make
it more efficient, humidity-controlled, better air-conditioning, lighting, handicap accessible and all new
finishes. The lobby and offices are also being renovated by making the reception/lobby area more
architecturally appealing as the customers enter the facility. Also, the reception area will also be the
control center to monitor the surveillance cameras in the facility and duress alarms for each of the
saunas. The office area has been modified to make the laundry area more functional and storage has
been added to assist in some of their deficiencies in the facility. The basketball courts will receive sound
attenuation. The project also includes a surveillance system throughout and a new fire alarm and mass
notification system for the entire facility. This multi project required a very skilled construction firm to
have the construction knowledge, the right personnel as a project manager, supervisor, and skilled
laborers, as well as, the confidence in the right subcontractors to do the job. Lord and Son have met not
only the challenges of the project, but have always been outstanding in their performance throughout
this project.
Also, they has been timely on their progress reports, we have reoccurring meetings every three weeks
to do discuss the progress on the construction and to inform the customer of any updates on the project
phasing and work elements. This has been a team approach from the very start of the design process
through the construction process. We have only one modification which was due to unforeseen site
conditions and they responded very quickly with several solutions and a fair cost proposal. We are
winding down the most crucial elements of the project, and Lord and Son with their subcontractors have
done an outstanding job.
It is for these reasons that | offer high recommendations for Lord and Son without any reservation. If
you have any questions regarding this recommendation, please do not hesitate to contact me.
Sincerely You

SUBJ: Jacobs/Titan Total Program Management (TPM) for the Okaloosa County School District
(OCSD) Capital Construction Program - Lord & Son Construction, Inc. Recognition
Dear Mr. Lord:
After completion of another successful summer construction program for OCSD, our entire team
would like to express our sincere gratitude and appreciation to Lord & Son for a job well done. You
and the staff associated with the Choctawhatchee High School Chilled Water Replacement and the
Longwood Elementary School HVAC Replacement Projects performed, as expected, with the
highest levels of professionalism, safety consciousness and fiscal awareness.
The Choctawhatchee High School Project was initially a seven-phase project that was scheduled to
take 193 calendar days and require up to twenty portables to house displaced students during Phase 4
of the project. Through extensive pre-planning on your part and by performing future phase work
out of sequence, the total number of calendar days was reduced by 56 days - thus eliminating the
need to relocate students to portables. This saved the District approximately $300,000 and, more
importantly, provided a more secure and safe learning environment for the students and teachers.
The success of this project was further enhanced when you and your team were able to replace the
existing 200 ton chiller with a new 400 ton chiller. This swap provided redundancy and sequencing
capability that did not exist prior to the start of the project. When you relocated the existing 200 ton
chiller to Bluewater Elementary over the 19 days of Winter Break, it did not delay the progress of
your work or interrupt the school operations at either location. Finally, and as a testament to your
dedication and support of us and our client, you were able to increase your scope of work and handle
the installation of two (2) large Air Handling Units during the last two (2) weeks of the summer
construction period, Your commitment to get the job done and the quality of work provided is to be
commended.
Phase 1 of the Longwood HVAC Replacement Project was accomplished in 43 calendar days over
this past summer. It involved the complete replacement of the mechanical systems that served
approximately 36,000 SF (almost two thirds of the school) and included a new cooling tower, new 6”
chilled water piping and new individual classroom units. The planning, punctuality and quality of
finished work exemplifies the conscientious approach exhibited by the entire Lord & Son team. We
are confident that Phase 2 of this project will be just as successful.

It is important to note that the Project Manager for Lord & Son on both projects was Mr. Ryan
Chavers. Ryan always represents your firm with the greatest level of professionalism and we feel
that he epitomizes the core values that define Lord & Son.
Over the last fifteen years, Lord & Son Construction, Inc. has worked with us to complete fifty-nine
projects on the OCSD Construction Program to include a new school in Crestview, numerous
additions and renovations and emergency projects. The end result of all of these projects has been
exceptional quality. They have all been professionally contracted from inception to completion -
regardless of the size of the project. Please pass along our appreciation of your outstanding
performance on all of these projects to your entire staff. We appreciate your continued drive for
excellence and your adherence to safety on all the projects. We look forward to many more years of
building better schools together.

Wittiams,
Lord & Son performed General Contracting services (Prime Contractor) for this new 5,000 SF retail space. This
pre-engineered metal building was completed with EIFS exterior finishes and interior finishes with sheetrock
walls and acoustical ceilings. The project was finalized with a parking lot and landscaping on the lot.
When Lord & Son was awarded this contract in late October 2013, it had to be completed in four months to
meet the deadline of March 1, 2014. In addition to the project already being fast-tracked, there was a two
week delay in receiving the metal building followed by another two weeks of bad weather. Through careful
coordination and discussions with subcontractors, not only was the project completed on time, it was
