HOSHIHARA JUNE 30, 2014 EXHIBIT A Scope of Work For OKALOOSA COUNTY BAYWALK PROJECT PHASE II PRELIMINARY DESIGN AND ENVIRONMENTAL PERMITTING INTRODUCTION Taylor Engineering presents this scope of work and cost estimate to Okaloosa County (“County”) for background data collection, natural resources investigations, conceptual planning, preliminary design, and permit application assistance to support the second phase of the County’s living shoreline project (previously Project Greenshores). Phase II includes the landside components of the proposed project along the Veteran’s Park (previous Island Golf Center) property. The previous Phase I portion includes alt waterside improvements ~ offshore breakwaters/oyster reefs, saltwater marsh restoration, public access pier, existing dock expansion (Marler Park Boat Ramp), and water access features (e.g., kayak launch). Taylor Engineering and Okaloosa County staff met with the Florida Department of Environmental Protection (FDEP) staff on April 18, 2014 to discuss the proposed project and permitting requirements for the second phase. This scope of work addresses the background data collection, natural resources investigations, and permitting requirements as discussed with regulatory staff. Taylor Engineering will apply the information collected to develop the landside conceptual design and support preliminary design and permitting of the second (landside) phase. ASSUMPTIONS We have developed this scope of work with the following assumptions: ¢ The conceptual landside improvements will include elevated boardwalks and gazebo structures, at- grade nature trails, and educational components. The proposed improvements will not require stormwater or utility design. * Wetlands delineation and habitat characterization work will only include the proposed Veteran’s Park property and only minor portions of the leased property necessary for regulatory review. + Based on our conversations with County and regulatory staff, Taylor Engineering will prepare and submit one permit application package for the entire project (both the waterside and landside project components). + Given the waterside features currently included in Phase I of the project and the connectivity of the landside and waterside areas, we assume FDEP will provide permit review and processing. + Okaloosa County will be responsible for all regulatory fees. + The proposed project does not include any requests for waivers or variances from County Land Development Regulations and other Regulations or Ordinances. * The conceptual permit application will not include any stormwater components. ¢ The proposed services do not include location of underground utilities or networks. + The proposed services do not include any work associated with offsite drainage studies, traffic studies or any work associated with modifications to existing offsite roadways, geotechnical or subsurface investigations. ITEMS SUPPLIED BY COUNTY Taylor Engineering assumes the County will provide the following additional documents: A-1 + Site development plans and lease agreements for the lease-holder properties in digital (pdf) format, if available. These properties include the Gulf Coast Marine Life Center, Emerald Coast Wildlife Refuge and Wild Willy’s Adventure Zone as well as any improvements to the Emerald Coast Convention Center and Marler Park. ¢ Digital master plan drawings of the Veteran’s Park property in AutoCAD format showing all leased property boundaries, existing uses, and proposed conservation/protected areas, improvements, etc. * Copies of existing County easements across neighboring properties between the proposed project site and the Gulf Islands National Seashore (GINS). « Any available additional studies, investigations, or preliminary designs completed for the County property. The following tasks comprise this scope of work. TASK 1 — Background Data Investigations This task includes efforts to obtain and review the available site background information that may be required by FDEP. Based on our findings, we will determine which data to analyze and present as part of future permit applications. Taylor Engineering will research specific regulatory and site condition characterizations including natural resource assessments, endangered species occurrence data, historical aerial photographs, and other available information pertinent to the project. Following background data investigations and prior to obtaining topographic or natural resource surveys (Tasks 2 and 3), Taylor Engineering, in collaboration with the Genesis Group (Genesis), will conduct a field review of the site for the purpose of observing environmental conditions and to further ascertain opportunities and/or constraints that may influence design considerations. The field observation will include a detailed review of the existing shoreline, wetland, and upland conditions within the proposed property and the interface with the future Veteran’s Park and other natural amenities. The review will also consider design opportunities for optimized connectivity to the Convention Center, Marler Park and potential access to the proposed Gulf Coast Marine Life Center, the Emerald Coast Wildlife Refuge and Wild Willy’s Adventure Zone, where appropriate, to support a natural park operational program and/or expand visitor experience. Taylor Engineering and Genesis staff will field identify specific areas of interest to be refined/included within the proposed topographic and natural resource surveys. Cost Task 1: $4,740.00 TASK 2 — Topographic Survey FDEP will require an updated topographic survey of the project area for permit application review. Our survey subcontractor will collect upland topography and general site features of the Phase II project area (above the mean high water line). The survey will include the following: Topographic survey of the approximately 17 acre upland area (excluding ponds) Location of significant vegetation areas, trees, and treelines within the project area Location of pond shorelines and water elevation at time of survey Property boundary lines Wetland delineation markers (as located by Taylor Engineering under Task 3) Location of existing structures (roadway, parking areas, drainage, utilities, fences) within and immediately adjacent to (within 50 ft) of the proposed project area eon soe A-2 Our subcontractor will provide signed and sealed drawings in digital and hard copy format including these features. The drawings will be geo-referenced to the state plane coordinate system NAD 1983 and vertical datum NAVD 1988. Cost Task 2: $5,690.00 TASK 3 — Natural Resources Investigations Future preliminary design and environmental permitting phases of the project will require an inventory of existing natural resource conditions within the project area. As such, Taylor Engineering will perform a natural resources survey to characterize and map existing vegetation and habitat conditions covering all terrestrial, wetland, and aquatic communities within the proposed project area. We will describe plant communities and develop vegetative species lists for each recorded community type. We will evaluate the site with regard to the occurrence of nuisance/invasive species and provide an assessment of wildlife utilization including state- and federally- listed species. We will also field delineate the limits of jurisdictional wetlands within the project area pursuant to the current methodologies of the USACE and state of Florida. We will stake/flag the jurisdictional wetland boundary and record the position using a differentially-corrected global positioning system (DGPS) with sub-meter accuracy. We will coordinate and attend a joint site visit with the FDEP and USACE to verify the wetlands delineation. Following the verification meeting, we will incorporate any necessary adjustments to the wetland line and provide the coordinates to the surveyor to facilitate formal mapping. We assume wetland delineation and habitat characterization work will only include the project area and immediately adjacent properties (within approx. 50 ft of the project area). We will prepare a natural resources survey report to document the survey findings. The report will detail onsite habitats and vegetative communities, wildlife utilization including state- and federally-listed species, jurisdictional wetland boundaries, and nuisance and exotic species. The critical information collected in this task will provide the environmental baseline for development of the conceptual site design and will also provide the necessary information to develop the environmental permit application for state and federal agency review. Cost Task 3: $7,766.00 TASK 4 — Program Formulation / Workshop Based on the information collected during Tasks 1 - 3, Genesis, in association with Taylor Engineering, will conduct a programming workshop with representatives from the Tourist Development Department, Parks Advisory Committee, the Okaloosa Island Lease Holder’s Association, and other relevant project partners to overview the site data and further identify design components that will contribute positively to a nature-based park design and operational program. Following the completion of Tasks 1 —3 and prior to the workshop, Taylor Engineering and Genesis staff will conduct a field review of the site for the purpose of observing environmental findings and to further ascertain opportunities and/or constraints that may influence design considerations. The site visit will include a detailed overview of the existing shoreline and landside conditions associated with the Okaloosa Baywalk Project and the interface with the future Veteran’s Park and natural park amenities. To support the workshop, Taylor Engineering and Genesis will present findings from the site analysis to convey any physical / environmental influences that may be unique to the planning and decision-making process. Taylor and Genesis will present in PowerPoint format a collection of traditional nature-based park features and experiences to initiate collaborative discussion among the team members. Previously A-3 developed site plans will also be on hand to illustrate prior park planning efforts. The workshop will focus on identifying specific design issues including, but not limited to the following: Determine appropriate and desirable recreation activities and amenities Identify areas for conservation, site restoration and habitat creation Establish the goals for visual character and spatial definition Determine support facilities and utility requirements Determine hours of operation Identify site security needs Define theme and architectural character Cost Task 4: $20,780.00 TASK 5 — Conceptual Design Based on the results of Tasks 1 - 3 and in consideration of programmatic elements established in the program formulation above, Genesis in consultation with Taylor Engineering will prepare a conceptual design overlay for the project area. The proposed plan will illustrate both the Okaloosa Baywalk and Veteran’s Park natural park improvements. The plan will incorporate proposed site features including hardscape components such as boardwalks, site lighting, docks and bridges; structures such as gazebos and pavilions; and environmental components such as nature trails and education features. Per the County’s request, the plan will not propose restroom facilities. The conceptual design will also identify areas for conservation, site restoration, and habitat creation / enhancement. The plan view layouts will endeavor to incorporate the County’s project goals and consider protected/environmentally-sensitive areas, protection from coastal conditions, and connectivity to proposed future upland and offshore development features. To support plan formulation, photographic images of similar project amenities will be presented to illustrate the potential character of the proposed park design. The conceptual design plan will include color enhanced graphics suitable for public presentation. Genesis and Taylor Engineering will present the plan and supporting graphics (o the project team mentioned in the previous section to overview the proposed concepts and receive comments and recommendations from these groups. Following receipt of County staff and public comments, Genesis and Taylor Engineering will revise the conceptual design to incorporate all feasible design requests, further develop the preferred concept, and prepare the preliminary design. We have budgeted sufficient time to allow one refinement of the preferred project concept. The refinement may include minor modifications to the water access and upland structures, and minor adjustments to improve interaction with the upland project components. We will present the preliminary design to the Okaloosa Board of County Commissioners for review prior to performing the preliminary engineering design and permitting tasks below. Cost Task 5: $12,990.00 TASK 6 — Preliminary Engineering Design and Permit Drawings Taylor Engineering will perform preliminary engineering design and develop permit drawings for the structural components of the conceptual plan (Task 5). As previously mentioned, we anticipate the plan’s hardscape components to include pile-supported boardwalks, gazebos and a bridge, and at-grade nature trails. Taylor Engineering will also perform preliminary environmental design for the proposed enbancement/restoration areas. Based on regulatory guidance, we will design the structures and A4 restoration areas to avoid and minimize environmental impact as much as practicable and optimize the probability of success for the restoration and enhancement areas. Taylor Engineering will provide permit drawings depicting: * Location map and general plan-view overlays of the entire project area « Preliminary structural design sections for the pile-supported structures * Environmental restoration/enhancement area plan-view layouts, design sections, planting/ stabilization details, and acreages + Existing environmental resources (identified during previous investigations) and proposed environmental protection measures (turbidity and erosion control measures, etc.) Taylor Engineering will complete permit drawings for the project in a two-step process. To provide the opportunity for County review and comment, we will submit permit drawings at preliminary and final design stages. The preliminary permit drawing submittal will provide two sets of 8.5 in. x 11 in. paper plots and corresponding digital format drawing files in AutoCAD 2013 and pdf formats. Taylor Engineering will provide the preliminary permit drawing submittal for County and project team review and comment. Following receipt of comments, we will incorporate any necessary changes to produce final permit drawings. The final permit drawings submittal will include three sets of signed and sealed 8.5 in. x 11 in. paper plots and corresponding digital format drawing files in AutoCAD and PDF formats. Taylor Engineering will submit additional copies, as necessary, of the permit drawings with the permit application (Task 7). Cost Task 6; $17,600.00 TASK 7 — Permit Application Revision Given the County’s desire to incorporate the Phase II work with the on-going Phase I (waterside) portion, the combined project will require an Environmental Resources Permit (ERP) issued by the FDEP or Northwest Florida Water Management District (NWFWMD) and a U.S. Department of the Army Dredge and Fill Permit from the U.S. Army Corps of Engineers (USACE). The FDEP will determine whether FDEP or the NWFWMD will ultimately provide final permit review. Given the water-dependent features and lack of stormwater management components, we assume FDEP will provide permit review and processing. In either case: e After completion of strategy discussions with the County, Taylor Engineering’s project manager and key project staff will meet with lead state and federal regulatory agencies in a joint pre- application meeting to present the project concept and receive permit application content recommendations from the agencies. These meetings will focus on permit application details and identify any potential hurdles in completing a successful permit application. We encourage the participation of the County in these meetings. ¢ We will provide the County a short summary of the meetings and immediately notify County if the meetings indicate any challenges that may significantly impact project success. Assuming positive meeting outcomes, we will move forward with the remaining project tasks, including permit application development. Taylor Engineering will develop a joint ERP application that includes the information necessary for state and federal agencies to perform their technical and regulatory review and public processes. In addition to the permit drawings developed in Task 6, the application will include detailed narratives describing the project design, purpose, and need; project best management practices (BMPs); avoidance and A-5 minimization measures; natural resource impact and mitigation analysis using the state of Florida’s Uniform Mitigation Assessment Methodology (UMAM); construction methodology and schedule; site maintenance and adaptive management, and post-construction monitoring. With County review and approval, we will deliver an application package to the lead state regulatory agency. The lead agency will distribute application packages to all other appropriate agencies, Cost Task 7: $7,760.00 TASK 8 — Opinion of Probable Construction Cost Using the permit drawings as a base, Taylor Engineering will prepare a preliminary opinion of probable construction cost for the Phase II (landside) project components described in this scope of work. This opinion of cost will comprise a list of major items with associated quantities and unit costs. We will apply internal and external data to develop a cost opinion for each major project element. This opinion of probable construction cost will provide the County with an initial budget estimate to construct the upland portion of the project. Cost Task 8: $2,530.00 SCHEDULE Because Taylor Engineering has no control over agency review processes and periods, the schedule for project permitting is uncertain. Upon receiving authorization, Taylor Engineering will immediately commence Task 1 ~ 3. Following completion of Task 1 — 3 and within 6 weeks of authorization, we will commence Tasks 4 and 5. Tasks 4 and 5 shall be completed within 8 weeks of commencement, subject to coordination and availability of the project team and County to conduct the required workshop and public meeting. Following completion of Tasks 4 and 5, we will commence Tasks 6 and 7 concurrently. We expect to complete Tasks 6 and 7 and submit the permit application package to the County for review within 8 weeks. Following County review and approval of the permit application package, we will submit the application to the regulatory agencies for review. Please note the USACE does not have set timelines for permit application review; however, Taylor Engineering will closely coordinate with USACE and other commenting agencies and respond to agency requests to expedite the regulatory review process. We anticipate the permit application processing and negotiations will take approximately 6 to 12 months to complete. Task 8 will be completed within 2 weeks of receiving a notice of intent to issue the regulatory authorizations. END SCOPE OF SERVICES We will perform these services for a lump sum fixed price of $79,856.00. Exhibit B provides an estimated breakdown of this cost.
