AMENDMENT NUMBER ONE TO LEASE AGREEMENT DATED JANUARY 10, 2012 BETWEEN BOARD OF COUNTY COMMISSIONERS OKALOOSA COUNTY, FLORIDA AND AIR METHODS This AMENDMENT NUMBER ONE, fully executed this day of , 2014, by and between the OKALOOSA COUNTY, FLORIDA (hereinafter called “LESSOR”) and AIR METHODS (hereinafter called “LESSEE”). WITNESSETH: WHEREAS, the LESSEE entered into the Original Lease Agreement effective January 10, 2012. WHEREAS, this Amendment Number One shall be subject to the terms, covenants, conditions, and agreements to be kept, performed and observed by LESSEE as stipulated in the Original Lease not amended in this Amendment. NOW, THEREFORE, the parties hereto, for, and in consideration of that lease, agree as follows to this Amendment as herein set forth: SECTION 1: TERM This Amendment Number One renews the term of the Lease as requested by LESSEE for an additional THREE (3) years as stated in the Original Lease. The expiration date will be November 30, 2017 SECTION 2: RENT A basic ground lease rent for the trailer and shed is SEVENTY FIVE CENTS ($.75) per square foot per year is established for ONE THOUSAND SEVEN HUNDRED TWNTY EIGHT (1,728) square feet. The base annual lease rent will be ONE THOUSAND TWO Y9L-90-Z1 BN ) ye: GASY HUNDRED NINETY SIX DOLLARS ($1,296.00) plus tax. A basic ground lease rent for the apron is NINE CENTS ($.09) per square foot per year is established for the TEN THOUSAND (10,000) square foot area. The base annual lease rent for the apron will be NINE HUNDRED DOLLARS ($900.00) plus tax. The Lease Rent provided for herein is all inclusive of any amounts to be paid to LESSOR by LESSEE for occupancy of the property. LESSEE shall pay to LESSOR at the office of the Airports Director, or at such other place as maybe designated by LESSOR, the Lease Rents will be due annually, and paid in advance whether or not an invoice is received. SECTION 3: NOTICES Notices for LESSEE will change to Air Methods Corporation, Jerrod Harris, 7211 South Peoria, Englewood, CO 80112. SECTION 4: ENTIRE AMENDMENT This Amendment consists of the following: Sections 1 to 4. It constitutes the entire Amendment of the parties on the subject matter hereof and may not be changed, modified, discharged, or extended except by written instrument duly executed by COUNTY and LICENSEE.
