(RW) doing business as a corporation in Menasha, Wisconsin. WITNESSETH That for and in consideration of the payment and agreements hereinafter mentioned and attached to be made and performed by the County and RW, hereby agree to commence and complete the consultation and to provide the work described in the proposal and comply with the terms of the contract documents for the: COUNTY ADMINISTRATOR EXECUTIVE RECRUITMENT Hereafter called the “Administrative Recruitment” for the sum not to exceed $15,900.00, plus expenses as identified in our proposal dated December 11, 2012. RW will furnish all labor and other services necessary to complete executive recruitment as stated in our proposal. RW hereby agrees to perform the work as specified by the Okaloosa County. The County shall pay RW: • 33% payment due within 10 days of signing the agreement. • 33% payment due upon completion of the second cut screening. • 34% payment due upon the hiring of a new executive. This agreement shall be binding upon all parties hereto and their respective heirs, executors, administrators, successors, and assigns. The laws of the State of Wisconsin shall govern this agreement. The agreement is an integrated writing, executed by the parties after negotiation and discussions of all material provisions. Either party has relied upon no inducements, concessions or representations of the fact, except as set forth in this agreement and the RW proposal. IN WITNESS WHEREOF, the parties hereto have executed, or caused to be executed by their duly authorized officials, the agreement is two (2) copies, each of which shall be deemed an original, on the first date written above.
