Eric - here are my changes to the Resolution. I was not comfortable with the last sentence which granted the Chairman
the authority to execute any documents amending the term. I would prefer that future amendments would need to be
brought back to the Board rather than giving the Chairman blanket authority. Usually the Board likes to see those
amendments. Let me know if you have any questions.
