SUBJECT: Third Amendment to America Airlines Lease at VPS

STATEMENT OF ISSUE: The Board of County Commissioners is requested to approve the
Third (3rd) Amendment to the American Airlines Lease at Northwest Florida Regional Airport
(VPS).
BACKGROUND: American Airlines and US Airways have merged and have requested
consolidation of their separate operating locations in the airport's terminal as allowed in
Amendment No. 1, Endorsement No. 1 to the Amended and Restated Signatory Airlines'
Operating Agreement and Terminal Building Lease. The two operations have consolidated into
about one-half of the former Northwest/Vision Airlines location and have agreed to pay for
1,333 square feet during the first year of merged operations. At the end of one year following its
beneficial occupancy (August 19, 2014) the airline will be asked to decide if it will lease the
remainder of the available office and ticketing area space. If it declines to do so, the space will
be made available for use by other carriers.

RECOMMENDATIONS: Airport Staff recommends approval of this Third Amendment to the
American Airlines lease agreement.
