BOARD OF COUNTY COMMISSIONERS
AGENDA REQUEST
DATE: January 20, 2015
TO: Honorable Chairman and Members of the Board
FROM: Jason Autrey
SUBJECT: Seminole Community Center Asset Acceptance Consideration
DEPARTMENT: Public Works
BCC DISTRICT:
STATEMENT OF ISSUE: Staff request Board direction on the consideration of the
transferring of the Seminole Community Center property and remaining assets to Okaloosa
County.
BACKGROUND:
The Seminole Community Center, Inc. (hereinafter “SCC”) is a not for profit corporation that
owns and operates the Seminole Community Center. This non-profit organization is in the
process of dissolving and winding up its business affairs and corporate existence. The Articles
of Incorporation related to the Distribution of Assets upon dissolution of SCC indicate that
SCC’s remaining property and assets are to be turned over to Okaloosa County, subject to
acceptance by Okaloosa County.
The SCC Board met on October 9, 2014 and voted to move forward with dissolution of the not
for profit corporation. They have also been in contact with Okaloosa County Staff, primarily,
Ms. Amy Allen of the Parks Department, regarding the County’s interest and willingness to
accept the remaining property and assets of the corporation upon dissolution. Attached is an
outline of SCC’s real and personal property that would be transferred to the ownership of
Okaloosa County, upon approval of the proposed transfer by the Board of County
Commissioners:
Seminole Community Center--List of Assets
SCC’s real property consists of approximately 1.6 acres (more or less) with a 2,440 sq ft concrete
block building constructed in 1981with a shingled roof of unknown age. This building has
central heat and air (replaced in 2007) and contains a small kitchen, 2 non-handicap accessible
bathrooms, 2 storage rooms and 2 large meeting rooms. The Okaloosa County Property
Appraiser’s 2014 Certified Values of the land and buildings were:
Building value - $73,569
Extra feature value - $2,203
Land value - $93,267
Total value - $169,039
As of the Financial Report for October 2014, SCC reported a total of $86,852.00 in liquid cash
assets.
County Staff visited the property and buildings to be transferred and believe that repairs and
improvements, as reflected on the attached spreadsheet, would be needed if the County takes
ownership in order to make the property and building suitable for use and operation by the
County for public park purposes. Cash funds to be transferred to the County appear to be
sufficient to pay for the immediate improvements and repairs that have been deemed necessary.
The attached spreadsheet also reflects County Staff’s initial estimate of the approximate yearly
operating and maintenance expenses for the property, as well as potential rental revenue
generation.
OPTIONS: Staff seeks Board direction concerning the proposed acceptance of the Seminole
Community Center and its assets to Okaloosa County. Approve/disapprove moving forward
with the acceptance of the Seminole Community Center and its assets.
RECOMMENDATIONS: Based upon the foregoing, staff recommends that the Board of
County Commissioners accept the offer of transfer to the County of the SCC assets and property
upon its dissolution and that the Board further direct Staff and the County Attorney to move
forward with the preparation of any and all inspections, reports, agreements and legal documents
necessary to accomplish the proposed transfer of SCC’s remaining property and assets to
Okaloosa County, Florida.
