Below is some background to those reviewing... In May 2014, the BCC authorized staff to negotiate with property owners for the purchase of land to serve as the future Shoal River Reservoir — past agenda request is attached. There are 2 land owners: Haiseal Timber & the Holland Ware Charitable Foundation. We need to go under contract with both property owners at the same time for this acquisition to make sense...both properties are needed for the reservoir to happen. The attached agreements both relate to the Haiseal Timber purchase of 302 acres directly east of the Shoal River, just south of Interstate 10. The agreements were written by Nabors Giblin Nickerson (NGN), under direction from Greg. After NGN drafted the agreements, we negotiated with Haiseal making a few minor changes, with NGN approving the changes. Below is the timeframe and why there are 2 agreements with Haiseal: - Upon successful completion of County Contract Review, Haiseal would sign 3 originals of both agreements: Option Agreement and Purchase & Sale Agreement. - We plan to present both agreements to the BCC at the July 7 Board meeting, but just ask the BCC to authorize the Chairman to execute the Option Agreement only. - The Option Agreement timeframe is through 12/31/2015. Sometime between now and then, we would go back to the BCC with the Purchase & Sale Agreement for the Holland Ware property. With the same agenda request and motion, we would request that the BCC “take the option” with Haiseal and approve the Haiseal Purchase & Sale Agreement. NGN is serving not just as County Attorney and author of these agreements, but also as the title/escrow agent overseeing these land acquisitions through the closings.
