The council approves the plan. line 35-- delete 'manager' and replace ' council'. line 41-- 1 think we should let a 5 year license. This is consistent witht he Two Trees Restaurant agreement. We still have the out clause. line 56-- Section 4. Rent. Since the Fair only rents the land, I feel that a straight percentage contract would be in our and his best interests. I haven' t seen any of his financial records but I think a percentage of his gross receipts is a good sound proposal, say somewhere between 10 to 25 percent. Therefore, he is free to generate as much business as possible and we, the city, can send business his way because we will share in the revenues. It will create a very positive partnership. The wording throughout the Agreement will have to be changed to reflect the above. If need to, I herein call for a workshop item to discuss the above comments. Virgil Joyce Shanahan <jshanahan@fwb. org> wrote: Good Afternoon All: This morning the City Attorney and I met with Fair Association Representatives Bull and Charles Rigdon regarding the Fair Grounds License Agreement. The fast meeting this issue was discussed by Council was 21 November 2006 in which Council provided the following parameters for negotiations: 1) Pursue a license renewal - three years from the date of signature on the new agreement. Estimated terms through 2010, based upon this direction. 2) Base lease rate on Fair Market Value 3) Include a 180 day no reason termination clause. Today, we discussed these parameters with the Fair Association Representatives and reviewed the Fair Market Appraisals that have been completed for the property. We had discussions about the appraisals and the fact that they are valued at highest and best use. The Fair Association believes that this amount should be discounted because about 60% of their rentals are for charitable grounds and the fact that the facilities are also an important part of emergency management in our community. To that end, the Fair Association indicated that they will update an existing appraisal; they had previously contracted for, to reflect Fair Market Value at current use ( governmenUrecreation) rather than highest and best use. In addition, we spoke about business licensing and streamlining procedures for commercial uses. We are still working out these details. As this is only the second meeting we' ve had, and the first after both appraisals have been received, we are still working things out. However I wanted to update you on our progress today. 4/ 512007 Page 2 of2 Attached for your reference is the first draft of the agreement.
