Jim:
It is a fairly large parcel, 11.6 acres. We have the option to purchase at the price that has been offered. It has been
vacant for the last year and a half. If we don’t do anything for the next 30 days, they will be able to go ahead and close
the sale. Basil Bethea called me and | told him that we could not give him an answer prior to the end of this year. Be
glad to answer any other questions you may have.
Thanks,
John

Subject: Sale of property in Bob Sikes Airpark
Dear: County Commissioners and County Administrator, I am trying to close on 5692 John
Givens Rd. Crestview, FL. in the Bob Sikes Airpark and the title search came back that the
county has a first right of refusal to purchase. I know you may be on holiday but we are trying to
close this property by end of this year to help the seller have the benefit of 2012 taxes.
Is there anyway a decision can be made quickly of whether the county would purchase or
decline?
See attached deed that references a first right of refusal (portion highlighted in yellow) along
with a copy of the purchase contract.
Thanks for your attention to this matter.

Commissioners:
Airport staff just became aware of this pending sale yesterday and after some
internal discussion, our department has some facts and recommendations:
e The privately held property is not included in the pre-permitted storm
water master plan and the storm water infrastructure is not connected to
this parcel.
e Our familiarity with the property is when Qwest briefly rented the space
for storage. The building would need improvement and the site has some
topographical challenges.
e The airports department did not budget this expense in FY13 and financial
performance specific to CEW is not in a position to make this purchase.
For FY13 we expect a $419,268 revenue and $889,867 in expenses (with
$544,193 going towards debt service on the Gasper property - operating
expenses are $345,674 otherwise). As a department, there is more
financial depth but we have been trying to compartmentalize each airport
to stand on its own. The Gasper property that connected us to HWY 90 was
contra to this strategy but the parcel was a rare opportunity to acquire
contiguous access for a future main entrance in one piece.
e If the airport purchased this property, it would become an “obligated
parcel” meaning that we could never sell the property only lease it per
FAA grant assurances unless released by the FAA. If it was purchased
independently from the Okaloosa County general fund or EDC, then the FAA
restriction would not be applicable.
e Similar to interest activity taking place at the former EJM property, the
airport encourages private companies and developers to make the vertical
improvements outside of the airside locations.
Ultimately, it is a BCC decision and we relayed the same message yesterday that
the county attorney communicated with Mr. Bethea - that this would need to be
decided at a future board meeting and is not a staff level decision. If 3@ days
pass after formal notification to the chair without a response or agenda item,
the first right is waived.
As staff, our recommendation to the board would be not to purchase it and allow
the private transaction to occur. We do not know what the indented future use is
but encouraging industrial activity as defined in the deed needs to be
universally applied throughout the county owned industrial park.
Greg Donovan, A.A.E.
