[like you suggestion, except ! would add “County or municipalities”. | really wish that we had required the
transportation expenditures to have been calculated by our respective auditors.

Michael,
(don’t see it as being a huge issue. Why don’t we just add “County and municipalities” to the sentence. in this regard,
each of the municipalities and the County have the option to ask for a recalculation anytime during the ten-year period
of the agreement. I’ve copied Mr. Dowd with this reply in the event he has suggestions otherwise.

What's the purpose of allowing the County to “recalculate”. Wouldn’t it be better if we just added the County to the
reopener statement?

John:
I revised it to only apply to local option gas taxes required to be shared
with municipalities. I also put in the provision that the County could
recalculate prior to the expiration of ten years. Take a look and let me
know your thoughts.

John

Can you provide a suggested language change to make the document legally sufficient? Michael is trying to get a draft
together to share with the municipalities and would like to capture both the first local option and second local option in
one document. We specified ten years, but the language reflects a “reopener” whereby we could review and redefine
the split any time during the ten-year period. | believe we would prefer a ten-year agreement, but the cities’ preference
is to be able to review the funding distribution in lesser intervals if needed.

John:
The statute referenced in that paragraph only refers to the first six cents. We could make it applicable to ail local option
gas taxes that are required to be shared with the municipalities. We've got to be careful with that 9" cent. Do we want
to make this agreement valid for ten years. | thought it was a bridge until we could accurately calculate the
transportation expenditures.

John

Michael,
| changed the reference to the first LOGT (1* six cents) in the first paragraph to include all local option gas taxes. Other
than that, looks good to me. Thanks, jh
