STATEMENT OF ISSUE: Republic Parking System, Inc. has been providing management
services for the parking facilities at the Destin-Fort Walton Beach Airport. The current
Management Agreement was entered into effective July 1, 2008 and there are two one year
extensions available under that Agreement. Additionally, as a result of an audit by the
Department of Revenue, it was determined that there was a failure to pay sales taxes on the
parking receipts at the Destin-Fort Walton Beach Airport during the audit period in the amount
of $357,501.86 and cumulative interest owed of $45,400.18 for a total amount of liability of
$402,902.04. County Staff and representatives of Republic Parking System, Inc. have been in
discussions concerning these issues and have sought to memorialize these discussions by a
Memorandum of Understanding.

current Management Agreement was entered into effective July 1, 2008 and there are two one
year extensions available under that Agreement. Additionally, as a result of an audit by the
Department of Revenue, it was determined that there was a failure to pay sales taxes on the
parking receipts at the Destin-Fort Walton Beach Airport during the audit period in the amount
of $357,501.86 and cumulative interest owed of $45,400.18 for a total amount of liability of
$402,902.04. County Staff and representatives of Republic Parking System, Inc. have been in
discussions concerning these issues and have sought to memorialize these discussions by a
Memorandum of Understanding.
Under the terms of the Memorandum of Understanding, Republic Parking System, Inc. would
receive an extension of the Management Agreement for the remaining two years available under
the Agreement. If extended, the Management Agreement would be extended until September
30, 2018. Further, to address the deficient sales tax issues, Republic would reimburse the
County one half of the amount paid to the State of Florida for the assessment of sales tax and
interest due from the Management Agreement between the County and Republic. Republic's
share of the cost would be $201,451.02, which they would pay within thirty (30) days of the
approval of the extension of the Management Agreement by the Board.
OPTIONS:
1. Approve/Disapprove the Memorandum of Understanding.
2. Approve/Disapprove the renewal and 2nd amendment to the Contract which will
extend the term of the Management Agreement (C13-2038-AP) for two (2) years.
RECOMMENDATION: Staff recommends that the County approve both options, the
Memorandum of Understanding and, if approved, to grant an extension of the Republic Parking
System, Inc. Management Agreement for a term of two years by approval of the renewal and 2nd
amendment to the Contract.
