BOARD OF COUNTY COMMISSIONERS
AGENDA REQUEST
DATE: August 20, 2013
TO: Honorable Chairman and Members of the Board
FROM: Sunil Harman
SUBJECT: First Amendment to American Airlines Lease & Operating Agreement
DEPARTMENT: Airport
BCC DISTRICT: All
STATEMENT OF ISSUE: The Board of County Commissioners is requested to approve the
First Amendment to American Airlines' Lease and Operating Agreement.
BACKGROUND: Airline Leases and Operating Agreements expire September 30, 2013.
Rather than prepare a new agreement, since the current agreement was authorized and entered
into on April 11, 2011 (retroactive to October 1, 2010), the airlines have agreed, by an
amendment, to a three-year extension to September 30, 2016. In addition to the extension,
certain modifications to the Indemnification and Environmental sections of the lease have been
made. American has signed and returned the proposed amendment. Likewise, Delta has returned
its extension to be approved at this meeting. Although the other airlines have agreed to the
extension, their coordination process has been extensive due to recent mergers between
United/Continental and American/US Airways, and the County has not received executed
amendments back from US Airways and United. We anticipate receiving their amendments
prior to September 1, 2013, at which time we will submit them for Board approval. In addition
to the extension, the airlines have requested some clarification to the indemnification provisions
of the basic agreement specifically relating to environmental issues. We also have added
definitions of environmental terms which were capitalized in the basic agreement, but were not
defined. Lastly, the amendment contains an Endorsement No. 1 in which the County agrees to
cooperate with American and US Airways in good faith to assist in certain listed
accommodations during their consolidation.
OPTIONS: Approve, Table or Disapprove.
RECOMMENDATIONS: Staff recommends approval of American Airlines' First Amendment
including Endorsement No. 1, the indemnification clarifications and defined terms.

BOARD OF COUNTY COMMISSIONERS
AGENDA REQUEST
DATE: August 20, 2013
TO: Honorable Chairman and Members of the Board
FROM: Don Turner
SUBJECT: EMS Essex Road - Additional Funding
DEPARTMENT: Facility Maintenance
BCC DISTRICT: All
STATEMENT OF ISSUE: Request BCC approval of additional funding to complete the EMS
Essex Road project.
BACKGROUND: The controls building at the former Garniers WWTP was saved from
demolition and renovated to provide space for an EMS Station, the EMS shift command, and
EMS main supply. During the permitting process, it was determined that the use of the building
should be multi-use commercial/residential.
The determination brought with it an expanded set of requirements for the renovation. A fire
sprinkler system and monitored fire alarm system, among other items, were added to the project
costs. The original funding for the project was insufficient to complete the project due to the
reclassification. The BCC approved the additional funding necessary to cover those additional
costs.
The original project is complete and the various EMS units have moved in. A few of the
estimated costs came in a bit higher than expected resulting in a $3,708.04 cost overrun (see
attachment). In addition, the parking lot must be modified to allow large delivery trucks egress
and to repair some damage from construction activities. Our county Public Works Department
has offered to assist with the repairs and modifications; however, funding for the materials is
needed.
It is requested that the Board allow the remaining balance of $6,997.01 from the old FWB
hospital project and the unused funding in the amount of $7,000 from the Crestview Courthouse
roof coating project to be move to the EMS - Garniers project to balance the account and provide
the funding necessary for the work on the parking lot. The total amount of funds requested to be
transferred is $13,997.01.
RECOMMENDATIONS: Request BCC approval to move unused funding in the amount of
$13,997.01 from 301-3110-562121 and 301-3110-562280 Capital Outlay fund to 301-3120-
652223 EMS - Garniers Capital Outlay fund.

AGENDA REQUEST

TO: Honorable Chairman and Members of the Board
FROM: Jeff Littrell
SUBJECT: Emerald Breeze Development Agreement (Lift Station Cost Share)
DEPARTMENT: Water and Sewer
BCC DISTRICT: 2
STATEMENT OF ISSUE: OCWS staff requests BCC approval and execution of the Emerald
Breeze Development Agreement. The agreement is to cost-share the construction of a proposed
lift station on the Emerald Breeze property - an Enhanced Use Lease (EUL) parcel on Okaloosa
Island, owned by Eglin AFB, leased by Emerald Breeze Resort Group, LLC. The agreement is
attached for your review, along with the County Contract Review coordination form.
BACKGROUND: The Emerald Breeze Project obtained a Development Order from the County
on September 12, 2012, to construct two hotels and one restaurant on Eglin's EUL parcel. The
Developer was planning on constructing a small, private lift station on the property that would
take the wastewater flows from this development and pump it into OCWS sewer system.
Whenever a Developer is in the planning/designing stages of a new system, staff takes the
approach of looking at the lift station from a regional perspective - to analyze other potential
flows (current and future) that could possibly come to the lift station. In this instance, we happen
to have a problem with our existing 10" gravity sewer main on the north side of Highway 98 -
the line is at or right near capacity during peak flow periods. We believe the solution to this
problem is to divert some of our existing wastewater flows (from the Sheraton, Boardwalk, and
Gulfarium) away from this 10" line and into the new Emerald Breeze lift station. Staff has
worked with the developer and his engineer to come up with a new design of the lift station and a
cost-share agreement that would upsize the lift station to accommodate the additional flow
(estimated at 61,000 gallons per day). The lift station would be located in the same location as
shown in the Development Order (on the Emerald Breeze EUL). We estimate the lift station to
cost approximately $160,000. Here is a summary of the agreement:
- The Developer would hire a contractor for $94,573 to construct the concrete wet well, junction
manhole, and associated piping.
- OCWS would reimburse the developer $12,716. The difference ($81,857) between these two
numbers is the amount the developer had in his contract to construct the small, private lift
station.
- OCWS would procure and install the following items: pumps, plumbing, valving, panels, and
other electrical/SCADA work. OCWS would also do the slab work and site work.
By cost-sharing the work in this manner, we estimate the cost percentage that OCWS and the
developer each spend will approximately equal the percentage of projected flow coming into the
lift station. The lift station will be constructed to OCWS standards. The lift station and force
main would be owned, maintained, and operated by OCWS. OCWS will obtain an easement
from both Eglin and the developer for the lift station and force main. OCWS will also be

constructing some gravity sewer to connect this lift station to the property to the east.
In summary, we feel that spending approximately $80,000 on the lift station and $40,000 on the
gravity sewer piping will increase capacity in the existing 10" gravity sewer line for the long-
term future. Other land development projects will be able to connect to this 10" main, and by
doing this project now, it
