This AMENDMENT ONE is entered into effective this day of , 2013, by and between OKALOOSA COUNTY, FLORIDA, a political subdivision of the State of Florida, (hereinafter referred to as COUNTY) and ROMJUE ADVERTISING & COMPANY, INC. (hereinafter referred to as CONTRACTOR). WITNESSETH: WHEREAS, the CONTRACTOR entered into the Agreement dated December 4, 2012 with a current expiration date of September 30, 2015. WHEREAS, this Amendment One shall be subject to the terms, covenants, conditions, and agreements to be kept, performed and observed by CONTRACTOR as stipulated in the original agreement not otherwise amended in this amendment. WHEREAS, the COUNTY and the CONTRACTOR, each in consideration of the agreements to be performed by the other, intending to be legally bound, do hereby agree to the following sections being added to the contract: SECTION 1: Exhibit A — Scope of Services and Compensation, number II paragraph one is amended to read: The CONTRACTOR’s compensation for media buying, marketing and advertising services shall be at a rate of 15% of the gross commission on media buys. The gross includes the agency commission and the net amount that is paid to the media outlet. The future commission to be based on 15% of the gross amount calculated by dividing the net amount as shown on the invoice by .85. The 15% commission on media buys shall include out-of-pocket travel expenses, which shall not be separately billed to the COUNTY. Each invoice will be on a monthly basis. SECTION 2: The effective date of this Amendment shall be December 4, 2012. CONTRACTOR is therefore due retroactive payment of the disputed amount based on the clarified computation methodology. SECTION 3: This amendment consists of the following: Sections 1 to 3. It constitutes the entire amendment of the parties and may not be changed, modified, discharged, or extended except by written instrument duly executed by COUNTY and CONTRACTOR.
