(Paragraph F) . He asked if this language should be changed to
say the county has the " right to inspect ." Mr . Goodwin
explained that if there is a breach of contract , he does not
want the county to be liable for failure to inspect . He again
asked for this paragraph to be rephrased . Mr . Henderson stated
regardless of the language he will inspect the facility on a
quarterly basis. He told Mr . Goodwin he sees his point and will
be happy to make the suggested change .
Mr . Goodwin said he does not see where the vendor is required to
provide a copy of its insurance policy . He was of the opinion
the insurance certificates are useless without the policy . Mr.
Stewart referenced Page 12 and stated the county can require the
vendor to provide the policy at any time.
Mr . Goodwin said the county could terminate the contract but the
vendor knows there is not one who wants to perform this service.
He felt there should be a provision for liquidated damages if
the vendor fails to perform according to the contract , for
example if the vendor is late submitting its audit . Mr. Stewart
responded that language can be drafted regarding liquidated

damages or a penalty but he feels PAWS may take issue with the
provision .
Mr . Goodwin stated this is an independent contractor and
expressed concern regarding a minimum standard of conduct or
training consistent with the expectations of county employees .
He said the county will not stand for curt behavior in its
employees and he does not think it is acceptable behavior for a
contractor . Mr . Henderson noted we are talking about a fine
line because it appears we are trying to control the vendor ' s
employees and he feels that may be a problem . He suggested an
addendum be prepared regarding conduct and behavior . Mr .
Stewart agreed with Mr . Henderson . He said the mandatory
training will address some of those issues . Upon inquiry by Mr .
Goodwin , Mr . Stewart stated we can make a complaint regarding
ACO behavior as the contract is currently written . He told Mr .
Goodwin he doesn ' t know if the Board could force the vendor to
take an action . Mr . Goodwin asked the commissioners if they
agree a message should be sent to PAWS regarding expectations .
Mr . Goodwin then asked if a friendly amendment would be accepted
regarding the proposed changes . Mr. Stewart commented that he
will need to make these changes and forward them to PAWS and
then return the amended contract to the Board for consideration
on a future agenda .
Mr . Boyles asked if it would be helpful to strike the six-month
clause allowing the ACOs to operate prior to completing the
mandatory training . He said the ACOs should wear name tags and
any complaints should be given to Mr . Henderson . Mr . Boyles
stated if there is a pattern to the behavior , then the county
could take issue with it . Mr . Goodwin stated he will accept
those comments .
Mrs. Ketchel stated she will accept the amendments to her
motion . Mr . Boyles listed the amendments :
(1) Correct typos
(2) Strike the six-month clause to operate as an ACO without a
certificate (Paragraph 8)
(3) Wear name tags to identify ACOs while on duty
(4) Insert a mandatory reporting clause with a written report
prepared for misconduct to be forwarded to the Public
Safety Department
Mr . Stewart said state licensing statutes allow a 60-day
timeframe for working while obtaining a license . He pointed out

it is difficult to get and retain ACOs . Mr. Boyles stated it is
for six months rather than 60 days . Mr . Henderson offered for
consideration a provision to allow an individual without a
license to partner with a licensed officer for six months . Mr .
Goodwin wanted the provisions for "partnering" spelled out and
asked Mr . Stewart if he can get us there . He replied in the
affirmative and noted it will be a good compromise .
Mr . Stewart stated earlier discussion included a provision for
liquidated damages and asked the Board if that is to be
included . The commissioners responded they have no problem with
adding that provision .
The vote was taken on the motion with the amendments (four
outlined by Mr . Boyles and the fifth identified by Mr . Stewart
in the preceding paragraph)-4 yeas . Mr . Harris was not present .

SERVICES FOR ASBESTOS ABATEMENT AT CRESTVIEW COURTHOUSE

$74 , 426 with Cason Environmental & Demolition Services for
asbestos abatement at the Crestview Courthouse . She stated the
vendor will need 4 5 days to remove the asbestos . Mr . Boyles
made motion , seconded by Mrs . Ketchel , to approve the contract
and to authorize the Chairman to execute same . 4 yeas . Mr .
Harris was not present .
