elective position must:
a. Abstain from voting on the measure;
b. Before the vote, publicly state to the assembly the nature of his or her interest in the
matter; and
c. Within 15 days of the vote, file a memorandum of voting conflict (Commission Form
8B) with the person responsible for recording the minutes of the meeting, who
incorporates the form in the minutes.
Local officials holding appointive positions must follow more complex guidelines. If they
do not intend to "participate" in the measure, they follow the same procedures as elected
officials: make the oral declaration, abstain, and follow up with the written form within 15 days.
If they do intend to "participate," they must abstain but must make their disclosure before they
participate. This is accomplished by either:
a. Filing the memorandum of voting conflict (Form 8B) prior to the meeting, in which
case the memorandum is to be provided immediately to the other members of the
agency and is to be read publicly at the next meeting after its filing; or
b. If the disclosure has not been made prior to the meeting at which the measure will be
considered or the conflict was unknown prior to the meeting, making the disclosure
orally at the meeting before "participating," followed by the written memorandum
(Form 8B) within 15 days after the oral disclosure, which would be provided
immediately to the other members of the agency and be read at the next meeting after
its filing.

I. Welcome & Review of Committee Process (Lynn Hoshihara)
Ms. Hoshihara brought the meeting to order at 10:30 a.m. She reminded attendees that
this was an official meeting of a committee put together by the Board of County
Commissioners to assist in the final ranking of the three remaining seats of the Okaloosa
County Tourist Development Council.
Ms. Hoshihara stated the final ranking sheet is to fill the last three seats of the Tourist

voting until the three seats are filled.
II. Ranking and Vote Tally (Lynn Hoshihara)
Ms. Hoshihara counted the votes based on the TDC Selection Committee Ranking Sheet
(attached) that had been provided to each committee member. Mr. O’Byrne, Mr.
Hofstad, and Commissioner Windes handed their previously prepared ranking sheets to
Ms. Hoshihara (attached). Ms. Hoshihara tabulated the votes in her work notes
(attached). After tabulating the votes, Ms. Hoshihara announced that based on the four
individuals applying for the three seats on the TDC, the applicants selected were Michael

proposed resolution was drafted for the Board’s consideration and will be included with
the individual’s names and the terms they will serve to memorialize the Committee’s
recommendation to the Board. The proposed resolution states that the TDC is made up of
9 members, and the 6 non-elected seats are what the Committee voted on Monday as well
