RESOLUTION NO. __ A RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS OF OKALOOSA COUNTY, FLORIDA APPROVING THE ISSUANCE OF ITS AIRPORT REVENUE REFUNDING BONDS, SERIES = 2013; RATIFYING A PUBLIC HEARING HELD WITH RESPECT THERETO AND APPROVING THE FORM OF NOTICE THEREOF; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, Okaloosa County, Florida (the "County") did on October 15, 2013 adopt its resolution (the "Authorizing Resolution") authorizing the issuance of not exceeding $15,000,000 of its Okaloosa County, Florida Airport Revenue Refunding Bonds, Series 2013 (the "Bonds"); and WHEREAS, the County has conducted a public hearing with respect to the Bonds on the sm day of November, 2013, at 6:30 p.m., for the purpose of considering the issuance of the Bonds, said public hearing being in compliance with Section 147(f) of the Internal Revenue Code of 1986, as amended, and said public hearing disclosing no reason why the Bonds should not be issued; NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF OKALOOSA COUNTY, FLORIDA, as follows: SECTION 1. The County, pursuant to and in accordance with Section 147(f) of the Internal Revenue Code of 1986, as amended, hereby ratifies the holding of the public hearing referenced above and hereby approves the issuance of the Bonds, as established by the Authorizing Resolution. SECTION 2. The form of notice of public hearing attached hereto as Exhibit A is hereby approved. SECTION 3. This resolution shall take effect immediately upon adoption hereof. PASSED AND ADOPTED this 5" day of November, 2013. James Lee Blvd., Crestview, Florida 32536 to consider adoption of a resolution providing for the approval of the issuance by the County of not exceeding $15,000,000 of its Okaloosa County, Florida Airport Revenue Refunding Bonds, Series 2013 (the "Series 2013 Bonds") to be issued in one or more series. The proceeds of the Series 2013 Bonds will be used by the County (1) for the purpose of refunding certain outstanding indebtedness of the County, including its Series 2003 Bonds and a loan from the Florida Local Government Finance Commission, a portion of which indebtedness was used in the trade or business of certain private parties using the County's airports and is secured by airport revenues, and (2) to pay costs associated with issuance of the Series 2013 Bonds. Such Series 2013 Bonds and the interest thereon shall not constitute an indebtedness or pledge of the general credit or taxing power of the County, the State of Florida or any political subdivision or agency thereof. Issuance of the Series 2013 Bonds shall be subject to several conditions, including satisfactory documentation, the approval by bond counsel as to the tax-exempt status of the interest on all or a portion of the Series 2013 Bonds and receipt of necessary approvals for the financing. The aforementioned meeting shall be a public meeting and all persons who may be interested will be given an opportunity to be heard concerning the same. Written comments may also be submitted to Okaloosa County, Florida prior to the hearing at 302 N. Wilson St., Suite 203, Crestview, Florida 32536, Attention: Don Howard, Clerk. ALL PERSONS FOR OR AGAINST SAID APPROVAL CAN BE HEARD AT SAID TIME AND PLACE.
