Mearns, City Manager Michael Beedie, Engineering & Utility Services Director March 8, 2011 Matching Grant Request for 2 Eglin Parkway NE 1. BACKGROUND: 1.1. The City of Fort Walton Beach Community Redevclopment Agency’s (CRA) Matching Streetscape grant program provides a 50/50 match up to $10,000 per application to commercial propertics in the CRA to improve the appearance of City rights-of-way. Letters of request were submitted on behalf of the property owner for grant funding for streetscape and landscape improvements to the right-of-way along Eglin Parkway NE and Hollywood Boulevard NE in the CRA district at property located at 2 Eglin Parkway NE. . The adopted Streetscape Matching grant program manual outlines the process and eligibility requirements for obtaining CRA streetscape grant funds: 1.3.1. Designated city staff shall review applications for completeness and eligibility. The Community Redevelopment Agency shall review any application for more than $5,000 and make a recommendation to City Council. 1.3.2. Grant funds shall only be used for qualifying improvements as listed in Section 3.1 of the grant manual. Material specifications must conform to those outlined in Section 3.2 of the grant manual. 13.3. Further, the property owner must enter in an agreement with the City to maintain all improvements under this program and accept liability for improvements in the right-of-way. The City must in turn, enter into an agreement with the Florida Department of Transportation (FDOT) to maintain the FDOT right-of-way. 2. DISCUSSION: 2.1. 2.2. The Engineering & Utility Services Department has reviewed the Site Plan and matching streetscape grant applications for eligibility and completeness for the site at 2 Eglin Parkway NE. The applicant desires to install decorative sidewalk pavers and landscaping along Eglin Parkway NE and Hollywood Boulevard NE. The scope of the work includes the complcte installation of the pavers, including base, sand, pavers, and stabilization, and landscaping and irrigation. The sidewalk will be nine (9) fect wide on Eglin Parkway and seven (7) feet wide on Hollywood Boulevard. The applicant has stated that the landscaping, paver design and color will conform to the requirements in the CRA To: From: Date: Subject: City Council of Fort Walton Beach ENGINEERING & UTILITY SERVICES MEMORANDUM Robert T. Mearns, City Manager Michael Beedie, Engineering & Utility Services Director March 8, 2011 Matching Grant Request for 2 Eglin Parkway NE 2.3. 2.4. 2.5. streetscape grant manual. A total of two (2) grant requests were submitted by the property owner: one for Eglin Parkway and one for Hollywood Boulevard. The total cost for the streetscape and landscape improvements on Eglin Parkway is $22,091.75, making the project eligible for $10,000.00 in grant funds (maximum allowable). The total cost for the streetscape and landscape improvements on Hollywood Boulevard is $13,643.25, making the project eligible for $6,821.63 in grant funds (50% of the total cost). 2.3.1. There are two separate requests for this property because the requirements for the improvements are drastically different along cach roadway. The sidewalk requircments along an FDOT roadway such as Eglin Parkway (nine-foot width) are different along a non-FDOT roadway such as Hollywood Boulevard (seven- foot width). The grant manual allows Staff to amend the program guidelines and application process as experience may dictate. If approved, grant funds are released to the applicant after approval of the maintenance agreements, completion of all improvements listed on the approved site plan, submittal of all invoices relative to the approved improvements, and verification by Staff that the improvements have been installed in accordance with the approved plan. This request for grant funding is in conjunction with the City’s ongoing project to install a new mast arm traffic signal at this corner through a partnership with FDOT. This project was approved by the CRA Board and City Council in June 2010, and FDOT has completed the design of the new mast arm signals. A requirement to complcte the installation of the mast arm signal at this corner includes the acquisition of approximately 635 square feet of property and the relocation of the existing landmark sign. The relocation of the landmark sign is estimated to cost $9,000. 3. FINANCIAL INFORMATION: 3.1. 3.2, A total of $50,000.00 was allocated in the FY 2010-11 CRA Matching Streetscape Grant Program (Account No. 109-2000-552-8200). The total amount of the two individual grant requests is $16,821.63. Also, the $9,000 required to relocate the existing landmark sign was not included in the original funding request for the design and construction of the mast arm traffic signals because the requirement and cost were unknown. Sufficient funding is available in CRA Fund Balance to cover this cost. City Council of Fort Walton Beach ENGINEERING & UTILITY SERVICES MEMORANDUM To: Robert T. To: Robert T. Mearns, City Manager From: Brandy Wunker, Finance Director Date: March 8, 2011 Subject: Lease-Purchase Financing 1. Background 1.1, During the development of the FY 2010-11 budget, staff discussed with City Council the possibility of entering into a master lease agreement to assist with financing for equipment and vehicles. 1.2. The process requires the City to issue a Request for Proposals for any purchases. The issuance of the RFP requires that the tentative projects be identified, with a maximum funding limit requirement for each project listed. 2. Discussion 2.1. Included in the FY 2010-11 budget is the lease-purchase of two (2) greens mowers and one (1) grounds mower. 2.2. Although not included in the FY 2010-11 budget, the replacement of one (1) ladder truck for the fire department is needed. The current ladder truck was purchased in 1996 for $315K and has reached the end of its useful life. The City has spent approximately $219K (70% of the purchase cost) in repairs and maintenance for the truck, which continues to require additional repairs. 2.3. With the above referenced purchases in mind, the City issued RFP 11-014 for master lease funding proposals which included maximum total funding of $965K. 2.4. The City received six (6) proposals in response to RFP 11-014. The lowest responsive responsible bidder was Hancock Bank, with a combined interest rate of 2.55%, 2.5. Hancock Bank requests City Council acceptance of their proposal. This acceptance does not obligate the City to accept the note. The acceptance of the note will be presented to City Council at a later date after purchases have been identified through the bidding process.. 3. Financial Information 3.1. The FY 2010-11 budget includes funding for the lease-purchase of the golf equipment. 3.2. The FY 2010-11 budget does not include funding for the debt service payment on the ladder truck. The budget does include funding for the debt service payment on a previously purchased fire pumper, the final payment of which will be made in the current fiscal year (approximately $50K). A portion of the debt service payment for the proposed acquisition of the ladder truck can be funded utilizing this already dedicated expense stream. 3.3. Additional funding, in the event that the debt service payment required for the proposed new acquisition of the ladder truck exceeds $50K, will require identification during the FY 2011-12 budget process. 8.4 City Council of Fort Walton Beach FINANCE MEMORANDUM To: Robert T. Mearns, City Manager From: Brandy Wunker, Finance Director Date: March 8, 2011 Subject: Lease-Purchase Financing 3.4. FY 2010-11 funding for the proposed acquisition of the ladder truck is approximatcly $26K. A budget amendment from fund balance will likely be required in the current year to cover this cost. 4. Recommendation 4.1, Staff respectfully requests City Council acceptance of the financing proposal from Hancock Bank, authorizing the Mayor to sign the necessary documents. This acceptance does not obligate the City to the note. ATTACHMENTS: « Hancock Bank (revised proposal) Ft. (2) of the City's RFP, we are offering to finance the City's needs through an obligation that would be secured bya “covenant to budget and appropriate” (CBA) from non ad-valorem revenues as opposed to lease structures secured by annual appropriation. Accordingly, we think it would be more efficient and cost effective to secure the obligation through a traditional non ad-valorem revenue note — please see the following sections captioned Security and Documentation for further details. Issuer: City of Fort Walton Beach, Florida. Amount: $965,000 Non Ad-Valorem Revenue Note, Series 2011 (the “Note”). Purpose of Issue: Proceeds of the Series 2011 Note will be used to finance a Ladder Truck over a 10 year period (Component A Equipment) and to finance equipment for the City’s Golf Course over a 5 year period (Component B Equipment), and to pay the cost of issuance of the Note, all as further delineated in the City’s RFP (collectively the “Project”). We have revised our original proposal letter to combine the amortization schedules for the Component A Equipment and Component B Equipment into one (1) “blended” amortization schedule, which is attached to this proposal. 113 Designer Circle Dothan, Al 36303 334-792-8422 / Fox 334-792-8424 | Toll Free |8B8) 516-7373 3 £ 3 < i] £ ir o a & £ 2 5 a. & a 3s & 4 1 S £ ra & & a c 8 = = i o 3 9 2 2 a 3 o 2 > 2 = rj s a x ro r-} 3 i S = € ca & £ ro} s ft City of Fort Walton Beach — Series 2011 Note Page 2 Authority for Issue: Provisions of the Florida Constitution, the Charter of the City of Fort Walton Beach, Florida, as amended; Chapter 166, Part Il of the Florida Statutes, and any other valid Constitutional and statutory authority. Dated Date of Note - Date of Delivery Form of Certificate: The Note will be issued as single typewritten or printed certificate, in fully registered form. Note Structure, Interest Rate & Term: The City has requested a “bank qualified” tax exempt fixed rate. The Note would be repaid utilizing forty (40) quarterly payments of principal and interest. Pursuant to this request we are offering the following terms and interest rate: Fixed Rate Option ** “Series 2011 Note - Bank Qualified” Annual Term interest Rate # 10 years — fully amortized utilizing 40 Quarterly payments (see attached amortization) 2.55% “* The Issuer would fully fund the loan on the day we close the loan. # The quoted fixed interest rate is contingent upon the Mayor and City Council accepting our proposal by no later than 35 days from the date of this letter. If the Mayor and Council accept our proposal by the stipulated time, we will hold the above referenced fixed interest rate firm, provided that the Note is closed (fully funded) no later than 60 days from the date of this proposal. If the Note is not fully funded within 60 days the interest rate could be higher based on market conditions at the time we close the loan. We have provided an amortization schedule which combines the Component A Equipment and Component B Equipment amortizations for “internal” information purposes, as well as shows the total “combined” amortization schedule for the Note. The City’s payment schedule would be equal to the “combined” payment schedule — see attached. Attachment: Hancock Bank (revised proposal) Ft. Walton Beach (1175 : Lease-Purchase Financing) City of Fort Walton Beach — Series 2011Note Page 3 Interest and Principal Payments: The Note would be payable in quarterly payments (in arrears) with the first payment commencing 3 months after the date we close the loan(s). Alternately, if the City would like to start its first payment prior to 3 months after close, we will be glad to work with the City in setting an earlier first payment date. Prepayment Provisions: The principal may be prepaid in whole on any date with 10 days advance written notice to the Bank without prepayment penalty. Principal may be prepaid in part on any principal payment date (each quarterly payment date) with 10 days advance written notice to the Bank without prepayment penalty. In the event of partial prepayment, the loan would be re- amortized, using the remaining principal balance over the remaining term of the original obligation. Credit Approval: Already approved. Security: The Loan would be secured by a covenant te budget and appropriate (CBA) from all legally available non ad valorem revenues of the City, subject only to the payment of debt secured by a lien on specific revenues and the requirement that the City fund essential governmental services (the City will not otherwise be entitled to fail to budget and appropriate debt service in order to balance its budget). Such covenant to budget and appropriate shall be cumulative to the extent not paid, and shail continue until such non-ad valorem revenues in amounts sufficient to make all such required payments shall have been budgeted, appropriated and actually paid. Additional Debt: The City would not incur additional debt secured by a lien on all or a portion of the legally available non ad valorem revenues or by a covenant to budget and appropriate unless it shall certify that the legally available non ad valorem revenues, after provision for essential governmental service and payment of all debt secured by all or a portion of the legally available non ad valorem revenues, is no less than 1.25 times the maximum annual debt service on all debt secured by a covenant to budget and appropriate from legally available non ad valorem revenues, including any debt payable from a lien on one or more specific non ad valorem revenue sources and any future proposed debt secured by a covenant to budget and appropriate or a specific lien on one or more non ad valorem revenue sources. The Bank and Bank Counsel would need to review and approve all documentation prior to adoption and/or acceptance by the Issuer's Board. Alll opinion letters from the City’s legal counsel would also have to be acceptable to the Bank and would need to be addressed to the Bank. We understand that the City desires to use the law firm of Nabors, Giblin, & Nickerson to perform the duties of “Bond Counsel”. Bond Counsel would draft the loan documents and issue the customary legal and tax opinions. Based on this, the role of "Bank Counsel” would be limited to that of a “review function” only. We have outlined the cost of Bank Counsel in the paragraph captioned “Closing costs, fees and expenses” presented below. Given the security of a non ad-vaiorem revenue CBA that we are offering (as opposed to annual appropriation lease structures), we believe it would be simpler and thus more cost efficient to evidence the obligation in the form of “traditional CBA revenue Note”, as opposed to a lease structures. Additional Documentation Requirements: We would require that the interest rate on the loan be “grossed up” and applied retroactively to the date of any event of taxability should it be determined by the Internal Revenue Service that the tax status of the Note has changed. Such “gross up” would not exceed any statutory limit imposed by the State of Florida and would be equal to the tax equivalent yield as originally contemplated by the Bank. The required documentation would also include, but not be limited to, a customary non-arbitrage certificate in form and substance acceptable to the Bank and Bank Counsel. The loan documentation would define standard events of default as are customary for this type of transaction and would provide reasonable remedies to the Bank in the event of default under the loan documents. The City would agree to provide to the Bank (at not cost) a copy of its audited financial statement within 180 days following the end of its fiscal year as well as provide to the Bank a copy of its final annual budget for each fiscal year within 30 days of adoption or such other information as the Bank may reasonably request. Closing costs, fees and expenses: The Bank would charge ne fees and assess no closing costs for its own benefit. However, we would require the City to reimburse the Bank for “Bank Counsel” expense, Bank Counsel’s expense would not exceed $3,000.00 for the role outlined above in the section captioned “Documentation”. The cost of Bond Counsel, the City’s Local Counsel, and the City’s Financial Advisor would be paid directly by the City. Tax Status of the Note: The quoted “bank qualified” tax exempt interest rate is predicated upon the Note being designated as a “qualified” tax-exempt obligation under Section 265(b) (3) of the Internal Revenue Service Cade of 1986, as amended (the “Code”). Hancock Bank. For Immediate Release December 15, 2010 For More Information R, Paul Maxwell, VP & Marketing Communications Director Forbes taps Hancock Bank among America’s ‘Most Trustworthy’ for second year in a row GULFPORT, Miss. (December 15, 2010) — Hancock Holding Company (NASDAQ; HBHC), parent company of 112-year-old Hancock Bank, recently made Forbes’ “100 Most Trustworthy Companies” for the second consecutive year — one of only 66 banks nationwide on this year’s elite roster. Hancock scored 99 on the 100-point Accounting and Governance Risk (AGR) scale used to assess the true quality of corporate accounting and management practices of companies considered for the list. “We are honored with this recognition,” said Hancock Bank President and CEO Carl Chaney. “Hancock Bank was founded 112 years ago on principles of honor and integrity — values that remain core to how we do business. Our associates’ commitment to these unwavering ideals over the last century have sustained Hancock Bank's strength and stability through some of the best and the most challenging times in America’s history. We consider this accolade a testament to the continued confidence of our shareholders, customers, and communities and remain very grateful for the ongoing opportunity to earn their enduring trust.” Forbes commissioned Audit Integrity, an independent Los Angeles-based financial analytics firm, to compile the top-100 list by examining more than 8,000 companies across America. Audit Integrity looked beyond the raw data typically reported in companies’ income statements and balance sheets, using a proprietary AGR analysis of accounting and governance factors historically linked to fraud and increased shareholder risk. Overall, fewer than five percent of public companies surveyed make Audit integrity’s list. For the complete 2010 list, go to http://www.forbes.com/2010/08/05/most-trustworthy-companies-personal- finance-audit-integrity.htm!| . Hancock Bank consistently rates as one of the nation’s strongest, safest financial institutions. U.S. Banker magazine listed Hancock 12" in America’s Top 25 financial institutions, and the American Bankers Association Banking Journal named Hancock Bank one of America’s Top 25 banks. For the past 21 consecutive years, BauerFinancial, a leading independent bank analysis and research firm, has ranked Hancock Bank in the top 20 percent of the country’s most financially sound banks. Hancock Holding Company has assets of approximately $8.2 billion. More corporate information and e-banking are available at www.hancockbank.com. —30- Attachment: Hancock Bank (revised proposal) Ft. Project Summary: The existing boat launch facility at Liza Jackson Park has 2 launch lanes. The ramp is not long enough to accommodate boats longer than 20 feet without the end of the trailer falling off the end of the ramp. Over time, the boat motor and trailer tires have left a large hole at the end of each ramp causing some vehicles to get stuck. The project would consist of constructing a cafferdam around the area and pumping out the water. An 8” thick pad would be poured to extend the end of the ramp by 12 feet with a curbing at the end of the proposed extension to prevent boat trailers from falling off the end of the ramp. The project will also include bumpers on the poles within each launch lane and replace some damaged wood around the launch lanes. ‘4 o — o > ° 2 & D & 3 i) o ” = = a < 2 3 o v o a 1» oe = < 3 3S 2£ r-% a < 2 iv) ir e 3 E £ re) S = < FWCI/FBIP-B (02/10) Page 2 of 8 10.1.4 Ill - FACILITY INFORMATION a. List Primary Need for Project: {X Safety ms High Demand by Users [1 Recommended by FWC Staff Li Lack of In-house Capability (1 Age-end of Useful Life (1 Environmental Needs of the Area (2 Other: b. Need Statement: The Liza Jackson Boat Launch (2 Ramps) are not long enough to accommodate boats larger than 20 feet on a regular basis. At low tide, even the people with smaller boats have a difficult time getting their boats down far enough to get them off of the trailer. Usually, trailers back down to the end of the ramp and the trailer tires fall off the end of the ramp causing trailers to get stuck, Liza Jackson Boat Launch is an extremely high volumed launch facility which brings boats in from Okaloosa County, as well as other counties and states, The citizens constantly place requests to extend the boat launch. c. Approach (Scope of Work): Describe the project’s scope of work by providing a list of tasks and deliverables: The project, if approved, will consist of constructing a cofferdam around the area to pump out the water up the end of the boat launch lanes and pouring an additional 12 feet (in length) concrete slab to accommodate all boats. The project would also include marina style bumpers on each pole on the dock as many boats have had damaged done to their boats from the hardware on the poles. d. Project Benefits: The project would benefit all boating citizens from Penasacola to Panama City, as well as vacationers that tow down boats. The Liza Jackson boat launch is an extremely high voltumed boat ramp. Many boating events are held in the area, as well, that bring in large boats that have a very difficult time releasing and retrieving their boats. Explain how the project may impact the environment and describe any mitigation or actions proposed to minimize impacts. The boat ramp is not located in any vegetated wetlands (including seagrass beds) and no estuarine wetlands will be filled, dredged, or altered to accomplish the proposed project. The initial construction including damming, pumping, and installation is expected to minimally impact the shallow intertidal sea floor and temporariliy displace fauna in the immediate project area; however, the damming should decrease the incidence of suspended particles and increased turbidity in the water column of nearby habitats {similar to the effects of a turbidity curtain). Pumping will be carefully monitored to ensure minimal adverse impacts to fish and other estuarine species within the project area. The boat ramp is an existing facility and is currently used for boating activities, so fauna present in the area is already regularly exposed to disturbance from boating activities. The project will also consist of the most environmentally safe materials available, where feasible and practical. XII — BOATER SAFETY a. Explain how the project may affect boater safety whether positively or negatively. Attachment: FBIP Application (1165 : Resolution 2011-5 Boating Improvement) The proposed project will positively affect boater safety. It is difficult for boaters to release and retrieve boats due to the shortness of the two (2) boat launch ramps at Liza Jackson Park. The majority of issues at the launch area relate to the trailer tires falling off the end of the ramp. Other issues include the trailers not being able to back their trailers up far enough to get boats back on the trailers. The boats have to push to full throttle to get back on the trailer which has blown out a large section of the sand at the base of the ramp. The drop off from the edge of the ramp to the sand is severe. FWC/FBIP-B (02/10) Page 10 of 8 Packet Pg. 55. Meams, City Manager From: Michael Beedie, Engineering & Utility Services Director Date: March 8, 2011 Subject: Ordinance 1803 - Staying Review Authority 1. BACKGROUND: 1.1. On June 23, 2009, City Council adopted Resolution 2009-04 creating the ad-hoc Business Retention Panel (BRP). This panel was created with the purpose of evaluating the relationship between City operations and the business community. 1.2. On February 9, 2010, at a City Council Special Meeting, the BRP delivered a list of recommendations for the City Council to consider. 1,3. The common thread throughout the recommendations was that the review process at the City should continue to look for ways to “streamline” its procedures. The recommendations included a request for Council to evaluate all City boards and committees involved in the development review process and to determine the value added by each board or committee to the process. 2. DISCUSSION: 2.1. As a result of these evaluations, it was identified that there is opportunity to reduce the number of boards that review certain types of development requests, while still promoting public participation and complying with statutory requirements. 2.2. Tn order to remove these unnecessary steps in the process, it was determined that several areas of the City’s Code of Ordinances would have to be revised. These revisions would include changes to the Comprehensive Plan and the Land Development Code. 2.3. The issues identified in the Comprehensive Plan were addressed in the recent Evaluation and Appraisal Report (EAR) amendments approved by City Council and sent to the Department of Community Affairs for final review. 2.4. To address the necessary revisions to the Land Development Code (LDC), the City contracted with The Gail Easley Company. Ms. Easley has begun the process to completely revise the LDC with an expected completion in early 2012. 2.5. Because numerous changes are required in the Land Development Code that will revise and streamline the development review process, Ordinance 1803 intends to stay the unnecessary requirements of additional board or committee hearings on developments throughout the remaining LDC revision process. 3. FINANCIAL INFORMATION: 3.1. Ordinance 1803 has no financial impact on the City budget. 4. MUNICIPAL PLANNING BOARD RECOMMENDATION: 4.1. Ordinance 1803 will be brought before the Municipal Planning Board on March 3, 2011 at their Regular Meeting. 5. STAFF RECOMMENDATION: 5.1. Staff requests City Council adoption of Ordinance 1803 to stay the authority granted by the Land Development Code to review applications by any board, commission, committee, council, or agency other than designated City staff, the Municipal Planning Board, Board of Adjustment, or City Council. The authority to review any applications by any board, commission, committee, council, or agency other than designated city staff, the municipal planning board, board of adjustment, or city council is hereby stayed until the effective date of the revised Land Development Code based on the updated Comprehensive Plan changes scheduled to be effective in 2011.
